These Terms & Conditions (“Terms”) govern your use of the NscDelivery mobile application and the website delivery.novatechsai.com (together, the “Service”), operated by Novatech (“we”, “us”).
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you confirm that you are authorized to accept these Terms for it.
1. Definitions
- “Business”: a delivery business that has a business account on the Service.
- “Admin”: a person who manages a Business in the Service (owner, admin, dispatcher or accountant).
- “Driver”: a person who has joined a Business’s team to carry out deliveries.
- “Customer”: a person or shop that requests deliveries from a Business through the Service.
- “Recipient”: the person who receives a delivery.
- “Order”: a delivery request created in the Service.
2. Our role
Novatech provides software only. We are not a delivery, courier or transport company. We do not employ or manage Drivers, we never take possession of goods, and we are not a party to any agreement between Businesses, Drivers, Customers and Recipients.
Each Business is solely responsible for the delivery services it offers, including the conduct of its Drivers, the handling of goods and the collection of money.
3. Accounts
- You must give accurate information and keep it up to date. A verified phone number is required.
- You must be at least 16 years old to use the Service, and at least 18 (or the age of majority where you live) to be a Driver or to manage a Business.
- Each account is for one person. Keep your sign-in details secure; you are responsible for activity on your account.
- Tell us immediately at support@novatechsai.com if you suspect unauthorized use of your account.
4. Business accounts
Business accounts are created by request and are activated only after we review and approve them. We may approve or decline a request at our discretion. Each Business is responsible for:
- Holding any licenses, permits, registrations and insurance its activity requires, and paying its own taxes.
- Its relationship with its Drivers (employment, contract or otherwise), including their pay, safety and training.
- The prices and fees it sets, the instructions it gives and the money it collects or owes.
- Complying with applicable laws, including data protection law toward its Drivers, Customers and Recipients, and having a valid reason to send messages to Recipients.
- The accuracy of the orders and information it enters in the Service.
Plan limits (such as the number of Drivers and team members) apply to each Business, and must not be circumvented.
5. Drivers
- You join a Business by accepting its invitation, and you can leave it at any time.
- By going on duty you agree to share your location with the Businesses you are on duty for, as described in the Privacy Policy.
- You must follow traffic and other applicable laws and hold any licenses your vehicle requires.
- Status updates, amounts, photos, receipts and proof of delivery that you record must be true and accurate.
- Money you collect or spend for an Order is handled on behalf of the Business and must be settled with it under your agreement with that Business.
6. Customers
- You must give accurate pickup and drop-off addresses and contact details, and send only lawful items.
- The price of a delivery is agreed between you and the Business in the app before the order is confirmed.
- When you ask a Driver to buy items for you, you agree to pay the actual purchase amount shown on the receipt, together with the agreed fees.
- You must be available, or make the Recipient available, to hand over and receive the order.
7. Prohibited items
The Service must not be used to send:
- Illegal goods, drugs or controlled substances.
- Weapons, ammunition, explosives or fireworks.
- Hazardous, flammable or toxic materials.
- Stolen or counterfeit goods.
- Live animals, unless the Business allows it and the law permits it.
- Any item that requires a special license to transport, unless the Business holds it.
Businesses may set additional restrictions, such as maximum values for cash and valuable items.
8. Orders and payments between users
Payments between Customers, Recipients, Drivers and Businesses (for example cash on delivery, purchase amounts and delivery fees) take place outside the Service. The amounts, balances and settlements shown in the app are records to help users, and do not create a payment obligation toward Novatech.
Novatech is not responsible for collecting money, for goods, or for disputes between users. Such disputes must be resolved between the parties. On request, we may provide the order history recorded in the Service to help resolve them.
9. Subscriptions, trials and fees
- Businesses use the Service under a subscription plan (monthly or yearly). Plans differ by limits such as the number of Drivers and team members.
- A new Business may receive one free trial. We may end or change trial offers at any time.
- Fees are in US dollars and are payable in advance for each period, using the payment methods we agree with you. Fees do not include taxes, which are your responsibility where applicable.
- If a subscription is not renewed, the account enters a short grace period and then becomes read-only. In read-only mode you can view data and settle balances, but you cannot create new orders or add Drivers.
- We may change prices with at least 30 days’ notice. New prices apply from the next billing period.
- Fees already paid are non-refundable, except where required by law or expressly agreed in writing.
10. Acceptable use
You must not:
- Use the Service for any unlawful, fraudulent or harmful purpose.
- Enter false orders, statuses, amounts or proof of delivery.
- Harass, threaten or discriminate against other users.
- Use location or contact information from the Service for anything other than the deliveries it was shared for.
- Copy, reverse engineer, scrape or interfere with the Service, or try to access data that is not yours.
- Circumvent plan limits, security measures or usage restrictions.
11. Your content
You keep ownership of the content you upload, such as photos and order details. You give Novatech a limited license to host, store and process that content only as needed to provide and improve the Service. A Business may request an export of its data.
If you send us feedback or suggestions, we may use them without any obligation to you.
12. Intellectual property
The Service, the NscDelivery name and logo, and all related software and designs belong to Novatech or its licensors. These Terms do not give you any right to use them except to use the Service as intended.
13. Third-party services
The Service relies on third-party services such as Google Maps, Waze, Google Firebase, Twilio, Google Sign-In and Sign in with Apple. Your use of those features is also subject to their terms. In particular, the use of Google Maps features is subject to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.
14. Availability and changes
We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. Location, maps and notifications depend on devices, networks and third-party providers. We may change, suspend or discontinue features, with reasonable notice where a change significantly affects paying Businesses.
15. Suspension and termination
You can stop using the Service and delete your account at any time. We may suspend or close an account if it breaches these Terms, is used for fraud or illegal activity, if fees are unpaid, or if the law requires it.
After a Business account is closed, its data remains available in read-only mode for 90 days so that it can be exported. After that, it may be deleted.
16. Disclaimers
The Service is provided “as is” and “as available”. To the extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. Driver recommendations, distances and arrival times are estimates.
17. Limitation of liability
To the extent permitted by law, Novatech is not liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue or data. Novatech is not liable for goods that are lost, damaged or delayed, for the conduct of Drivers, Businesses, Customers or Recipients, or for payments between users.
Our total liability for any claim relating to the Service is limited to the greater of the fees you paid to Novatech in the 12 months before the claim, or 100 US dollars.
18. Indemnity
You agree to indemnify Novatech against claims, losses and costs arising from your breach of these Terms, your misuse of the Service, or the deliveries you offer, carry out or request.
19. Governing law
These Terms are governed by the laws of Lebanon, and disputes will be handled by the competent courts of Lebanon. This does not remove any mandatory protection you have under the consumer laws of the country where you live.
20. Changes to these Terms
We may update these Terms from time to time. We will change the “Last updated” date and, for significant changes, notify you in the app before they take effect. If you keep using the Service after that, you accept the updated Terms.
21. General
These Terms and the Privacy Policy are the entire agreement between you and Novatech about the Service. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. We may assign these Terms in connection with a business transfer. These Terms are available in English, French and Arabic. If the versions conflict, the English version prevails.
